By purchasing a membership, reserving facility time, entering the facility, or using any Swing Studios equipment or services, you agree to be bound by the following terms and conditions.

Membership Access

Memberships are non-transferable and may only be used by the registered Member. Swing Studios provides secure 24-hour access to Members through its access control system. Members may not share access credentials, door codes, login credentials, or reservation privileges with any other person.

Members may not permit any person to enter the facility using their access credentials unless that person is an authorized guest attending the Member's active reservation. Tailgating or allowing unauthorized entry is strictly prohibited and may result in immediate suspension or termination of membership.

Swing Studios reserves the right to suspend or terminate membership privileges at any time for violation of these terms.

Commercial Use & Outside Instruction

Memberships are for personal, recreational use only. No outside instructor, coach, trainer, or other person may use Swing Studios as a teaching, coaching, training, or other commercial facility, or provide paid or compensated instruction at the facility, without the express prior written consent of Swing Studios management.

Any such use without express written consent is strictly prohibited and may result in immediate suspension or termination of membership without refund, in addition to any other remedies available to Swing Studios.

Reservations

Members must reserve simulator time through the approved reservation system. Reservations begin and end at the scheduled times. Members must vacate the facility promptly at the end of their reservation.

Members who remain in the facility beyond the end of their reserved time will be charged an overstay fee of twenty-five dollars ($25) for each fifteen (15) minutes, or any portion thereof, that they remain past the scheduled end time. This fee may be charged to the credit card on file without further notice.

Repeated, excessive, or unauthorized overstays may also result in additional charges, suspension, or termination of membership.

Technology & Equipment Availability

Swing Studios does not guarantee uninterrupted operation of TrackMan, PuttView, internet service, power, software, televisions, audio systems, access systems, or other equipment. Temporary outages, maintenance, software updates, hardware failures, or technical issues may occur and shall not constitute a breach of this Agreement or entitle the Member to a refund unless required by law.

Guest Policy

Each reservation includes the Member and up to three (3) additional players at no additional charge, for a maximum of four (4) players total. Additional players or spectators beyond the four-person limit may be permitted at Swing Studios' discretion and will be charged $25 per person.

The Member is fully responsible for the conduct, actions, damages, injuries, and rule violations of all guests.

Minors

Any guest or participant under the age of eighteen (18) (a "Minor") must be accompanied and directly supervised at all times while present in the facility by a responsible adult aged eighteen (18) or older, who may be the Minor's parent, legal guardian, coach, or instructor (a "Supervising Adult").

A minimum of one (1) Supervising Adult is required for every four (4) Minor student athletes. Groups exceeding this ratio will not be permitted to use the facility.

Minors may not enter, occupy, or use the facility or any equipment unaccompanied. The Supervising Adult and the Member are jointly responsible for the supervision, conduct, actions, safety, damages, injuries, and rule violations of any Minor in their care.

Because a Minor cannot enter into a binding agreement, this Agreement (including the assumption of risk and release provisions below) must be accepted on the Minor's behalf by the Minor's parent or legal guardian, who agrees to these terms on behalf of the Minor to the fullest extent permitted by California law. The Member is responsible for ensuring that these requirements are met for any Minor admitted under the Member's reservation or membership.

Food, Beverages & Cleanliness

Outside food and beverages are permitted. Members are responsible for cleaning up all food, beverages, trash, personal belongings, and other items brought into the facility. The facility must be left in clean condition after each reservation.

Swing Studios reserves the right to charge the credit card on file for excessive cleaning, sanitation, trash removal, spills, stains, or other conditions requiring additional cleaning services.

Damage to Property

Members are responsible for any damage caused by themselves or their guests. This includes but is not limited to damage to:

— TrackMan equipment

— Computers and electronics

— TVs and monitors

— Putting surfaces

— Furniture

— Walls and flooring

— Doors and access systems

— Facility fixtures and equipment

Swing Studios may charge the credit card on file for repair, replacement, cleaning, restoration, labor, downtime, or other associated costs.

Personal Property & Lockers

Members and guests assume all risk for loss, theft, or damage to personal property brought onto or left within the premises. Swing Studios is not responsible for lost, stolen, or damaged property.

If lockers are provided, they are offered solely as a convenience. Swing Studios is not responsible for loss, theft, or damage to items stored in lockers.

Video Surveillance & Audio Monitoring

Members acknowledge and agree that Swing Studios is under continuous video and audio surveillance twenty-four (24) hours per day, seven (7) days per week. By entering the facility, Members and guests consent to being recorded for security, safety and loss prevention, investigation of incidents, insurance claims, legal proceedings, and general business operations.

Marketing & Promotional Media

Separately from security surveillance, Swing Studios may photograph or record activity within the facility for marketing and promotional purposes, including website and social media content. Members grant permission for such use without compensation. Members who prefer not to be included in promotional media may notify Swing Studios management in advance of their visit.

Assumption of Risk

Golf practice, golf simulation, putting, swing training, and related athletic activities involve inherent risks that may result in serious injury, permanent disability, illness, property damage, or death. Participation should only be undertaken by individuals who are in good physical condition and capable of safely engaging in physical activity.

Members acknowledge that Swing Studios does not provide medical advice, medical screening, fitness evaluations, or healthcare services. Members voluntarily assume all risks associated with participation in activities at the facility.

Medical Acknowledgment

Members certify that they are physically capable of participating in golf-related activities and have consulted a physician if necessary. Members understand that Swing Studios is not responsible for any injury, illness, medical condition, heart-related event, disability, paralysis, or death arising from participation in activities conducted at the facility. Members assume full responsibility for their health and physical condition while using the facility.

Release of Liability

To the fullest extent permitted by California law, Members release, waive, and forever discharge Swing Studios, its owners, officers, employees, contractors, affiliates, successors, and assigns from any and all claims, liabilities, damages, losses, expenses, injuries, illnesses, disabilities, property damage, or death arising from or related to ordinary negligence in connection with use of the facility.

This release does NOT apply to, and Member does not waive, any liability arising from gross negligence, recklessness, willful or wanton misconduct, fraud, intentional injury, a violation of law, or any other liability that may not be released or limited under California law, including California Civil Code Section 1668. This release applies to both Members and their guests.

California Civil Code Section 1542 Waiver

Member expressly waives the provisions of California Civil Code Section 1542, which states:

"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

Member understands and accepts that this waiver applies to known and unknown claims, except for any claims that may not be waived or released under California law.

Emergency Medical Authorization

In the event of an accident, injury, illness, or emergency, Swing Studios may contact emergency responders. Swing Studios has no obligation to provide medical treatment, transportation, or emergency services. All costs associated with emergency response, transportation, medical treatment, or hospitalization shall be the sole responsibility of the Member or injured party.

If the injured party is a Minor, the Minor's parent or legal guardian authorizes Swing Studios to seek emergency medical care for the Minor when the parent or guardian cannot be reached, and remains responsible for the associated costs.

House Rules

The following conduct is strictly prohibited:

— Theft, vandalism, or illegal activity

— Harassment or threatening behavior

— Sharing access credentials or unauthorized entry

— Excessive noise or disruptive behavior

— Abuse of equipment or property damage

— Remaining in the facility beyond reserved time

— Allowing an unaccompanied Minor in the facility

— Using the facility for outside instruction or commercial purposes without express written consent

— Violation of posted facility rules

Violation of any Swing Studios policy or house rule may result in immediate suspension or permanent revocation of membership without refund. Swing Studios reserves the right to charge the credit card on file for damages, cleaning fees, unauthorized occupancy, overtime use, rule violations, chargebacks, or losses caused by the Member or their guests.

Safety-Based Membership Revocation

Swing Studios reserves the right to suspend or terminate membership if management determines that a Member presents a safety risk, security risk, or operational risk to the facility, its equipment, staff, guests, or other Members.

Payment Authorization

By maintaining a membership, the Member authorizes Swing Studios to charge the credit card on file for: membership fees, guest fees, cleaning fees, damage repairs, overstay/overtime usage fees ($25 per 15 minutes, or any portion thereof), chargeback fees, and other authorized charges arising under this Agreement.

For charges other than disclosed flat fees (such as the overstay fee), Swing Studios will provide the Member with an itemized statement of the charge upon request.

Membership Cancellation & Refunds

Membership fees are non-refundable except where required by applicable law. Members may cancel their membership in accordance with Swing Studios' cancellation policy then in effect. Termination for violation of this Agreement shall not entitle the Member to a refund.

Severability

If any provision of this Agreement is held to be invalid, unenforceable, or contrary to California law, that provision shall be limited or modified to the minimum extent necessary so that it becomes valid and enforceable, and the remaining provisions shall continue in full force and effect. The invalidity of any provision shall not affect the validity of the remainder of this Agreement.

Governing Law

This Agreement shall be governed by the laws of the State of California. Any dispute arising from this Agreement shall be resolved exclusively in Los Angeles County, California.
